A public brief on the opportunity, at its current stage.
What we are building, where it stands, who is building it and what the next milestone needs. Structure, budget, runway, ownership and terms are covered in a private brief after an initial fit conversation. Nothing on this page is an offer of securities.

Thesis
Research instruments for a mechanism the field can now see but few can measure.
Over the past fifteen years, researchers have described a brain-wide clearance pathway, imaged its sleep-linked dynamics in people, and connected its decline to aging and neurodegenerative disease. How clearance is best measured, and how much it can be influenced, is still being worked out, and most of that work needs equipment only a few laboratories own.
Our thesis is that a measurement and control platform built from certified industrial components, with independent measurement and a separate safety function, can be made precise, inexpensive and reproducible enough for many laboratories to run the same experiments and check one another’s results. That is an engineering hypothesis. We will test it on the bench before we describe it as anything more.
Structure
NeuroClearance is a research and engineering program of NuvoNexus, LLC, a company founded and led by David Sherrer. MNEOS is the institutional home that publishes the program’s milestones and open problems. The investment vehicle, intellectual-property ownership and any investor restrictions are set out in the private brief.
What we are building
One architecture, three tracks, three different timelines.
The asset is a verifiable control-and-measurement architecture and the priority filings that protect it. It is being carried along three product tracks that share engineering and records but not claims.
An affordable research and clinical instrument
Bench instrument first, then independent verification, supervised studies with clinical collaborators and a formal regulatory determination. The goal is a unit authorized by FDA for its intended use and priced so that laboratories and clinics can own one. NeuroClearance record
A consumer line for everyday self-improvement
Lullwave is a separate consumer line intended to fit FDA’s general-wellness policy for low-risk products: wellness claims only, no diagnosis or treatment, and no dependence on the regulated track’s timeline. Counsel review of that fit is part of the plan. Nothing is for sale yet. NeuroClearance record
Coordinated systems for rehabilitation and recovery
The direction described in our filings: coordinated, multi-modality systems that support recovery and rehabilitation under supervision, with each modality added only after its own measurement, independent review and safety case. A research hypothesis with no timeline and no claim of benefit. Research hypothesis
The opportunity, stated carefully
Six questions investors ask, answered at the level we can publish.
What is the first use case?
A bench measurement and control platform for supervised laboratory research on the physiological conditions linked to brain fluid transport. The intended operator is a research group with scientific or clinical oversight; the first experiments are non-human characterization and verification runs. NeuroClearance record
Who would pay?
Working commercial hypothesis: research instrumentation supplied to laboratories and clinical research groups, with licensing and partnerships as later options. Customer demand has not been validated, and we will not describe it as validated until collaborators are running the platform. Research hypothesis
What is differentiated?
Stated as targets, to be shown by measurement: cost low enough for many laboratories to own one; independent measurement of every controlled quantity; a safety function with its own authority to stop the system; and run logs complete enough for outside audit. The enabling mechanism is discussed privately. Research hypothesis
What does capital unlock?
The next financed milestone is measurement characterization of the first bench unit. Deliverable: a repeatability, calibration and timing report for stated conditions, reviewed by at least one outside metrology or controls specialist. Budget, runway and terms are in the private brief. NeuroClearance record
Who closes the gaps?
Founder-led, with engineering support from the NuvoNexus and MacroVation teams and outside regulatory and patent counsel. Scientific advisors have not yet been appointed; two reviewer roles are open now. See the team page. NeuroClearance record
How is intellectual property handled?
Six U.S. provisional applications have been filed and the portfolio continues to grow; see intellectual property below. Ownership, assignment and claim detail are discussed privately under agreement. NeuroClearance record

Independent verification, integrated non-human testing, research readiness
Each stage gets its own outside reviewer, written report and review status before we describe it as done. Research hypothesis
Assembly shows that a system exists; it says nothing about biological performance. Talks and advisor conversations are visibility, not validation. Full roadmap
Intellectual property
Priority established; rights not yet granted.
Six U.S. provisional patent applications naming David Sherrer as inventor have been filed, and the portfolio continues to grow with the research and technical work. Together they describe the measured-delivery, response-controlled architecture with independent safety supervision and reconstructable records, and staged extensions covering sleep-state coordination and coordinated multi-modality systems. NeuroClearance record
Provisional applications are not published and are not patents: they establish priority for what they disclose, and non-provisional and international filings follow on counsel’s schedule. Neighbouring art in adjacent modalities is active, and we track it. Claim-level detail, ownership and assignment are covered in the private brief under agreement.
What the filings do and do not establish
- They establish priority for the disclosed matter. They do not establish validity, scope or freedom to operate.
- They are unpublished. Nothing on this site describes a claim.
- This section is kept to the count and the subject areas. Everything else is private.
Risk register
What could stop this, and what we are doing about each.
Stated as we see them today, in the order we expect to meet them. Updated with the status record.
- Scientific
- The measurement may not mean what we hope. Brain clearance is inferred from surrogates, and the field disputes how best to measure it. Response: the first platform claims only to control and measure conditions; whether its readings relate to clearance is for collaborators’ studies, with an outside endpoint review before any study is designed.
- Technical
- Control and timing may not be repeatable at low cost. Response: independent measurement of every controlled quantity, a stated uncertainty budget, and a repeatability report as the first exit criterion. A published negative result is a result.
- Safety
- A fault in control could go unnoticed. Response: a safety supervisor engineered separately, with authority to stop the system; non-human testing only until risk management, independent verification and ethical review are complete.
- Regulatory
- Classification and pathway are not yet determined, and the wellness line must stay within general-wellness limits. Response: outside regulatory counsel; formal determination is a named roadmap stage; the wellness line makes wellness claims only and shares no research claims.
- Intellectual property
- Adjacent fields are active, and provisional filings are not rights. Response: six priority filings and a growing portfolio, a maintained prior-art watch, and conversion decisions made with counsel on schedule. Claims are kept to what the bench can support.
- Commercial
- Demand is unvalidated. Response: laboratory and clinical-research demand is described as a hypothesis until collaborators are running the platform. Pricing for access is a design constraint from the first unit.
- Execution
- Founder-led, and the founder also leads other companies. Response: named engineering support from the NuvoNexus and MacroVation teams, written roles, a status record kept in step with mneos.ai, and milestone-based financing rather than a single raise.
Founder history
Verified track record, kept separate from NeuroClearance results.
- Founded Nuvotronics in 2008 to commercialize PolyStrata®, a 3D microfabrication process for RF and millimeter-wave components developed under a DARPA program, and led it through certified production. Cubic Corporation announced the acquisition on March 14, 2019, for approximately $64 million in cash plus up to $8 million in earn-outs.
- Earlier founded Haleos and ACT MicroDevices in wafer-level optoelectronic packaging, taken through production to acquisition.
- Named inventor on more than 125 issued and pending U.S. patent applications across those companies, all assigned to the acquirers.
- Led organizations holding ISO 9001 and AS9100D certifications and delivering to U.S. government agencies and defense primes.
Lullwave, kept distinct
Lullwave is a separate consumer wellness line in development under the same company. It makes general wellness claims only, shares no research or clinical claims with this program, and is presented on its own page. Whether it forms part of the same opportunity, a separate business or a future option is addressed in the private brief.
How we approach commercialization
We design for rigorous evidence, patient safety and broad access, with a sustainable commercialization model. If any legal or economic restriction applies to an investment, it is stated precisely in the private brief rather than implied here.
